B2B Terms and Conditions

1. Who we are and scope

The portal shop.mdtrade.ro is operated by MD TRADE CONCEPT SRL, registered office at 30 Șantierului Street, Buftea, Ilfov County, Romania, Trade Register no. J2020000119155, VAT/Tax ID RO36004143, share capital RON 200, phone +40 721 337 466, email vanzari@mdtrade.ro (“MD Trade”). These terms apply to the use of the portal and to all orders placed through the portal, through a sales agent or by email, unless otherwise agreed in writing.

2. Businesses only

The portal and MD Trade's sales are intended exclusively for professionals (companies, sole traders and other business entities) buying in connection with their business. We do not sell to consumers. Consequently, legal provisions intended solely for consumers (such as the right of withdrawal under Romanian GEO 34/2014) do not apply to contracts concluded with MD Trade.

3. Account

  • Accounts are granted on request, after an MD Trade agent has verified the company. We may refuse or suspend an account, for example in case of false data, overdue payments or misuse.
  • Login details are confidential. The company is responsible for orders placed from its account and must notify us immediately if it suspects unauthorised use.
  • The prices shown in the account are the company's negotiated prices and are confidential.

4. Prices and orders

  • Prices are in Romanian lei (or in euro, where indicated) and exclude VAT unless stated otherwise. Stock levels and prices shown are for information until the order is confirmed.
  • An order sent from the portal is an offer to buy. The contract is concluded when MD Trade confirms the order (by email, in the portal or by issuing a pro forma or tax invoice).
  • Made-to-order or made-to-measure products (cut glass, profiles cut to length, configured systems) cannot be cancelled after confirmation, except with our written consent.

5. Payment

Payment is made by bank transfer, online by card, cash on delivery or in cash at our office, within the legal limits for cash payments, by the due date on the invoice or in the framework contract. Late payment bears the statutory penalty interest between professionals (Romanian GO 13/2011) and, where applicable, the compensation provided by Law 72/2013. Details: Payment details.

6. Delivery and acceptance

  • We deliver via FAN Courier, Dragon Star, our own transport or collection from our warehouse. Delivery times are estimates. Details: Delivery details.
  • Risk passes to the buyer when the goods are handed over to the buyer or to the carrier chosen by the buyer.
  • Check parcels on receipt, in the presence of the courier. Shortages and visible damage (especially to glass) must be noted on the delivery document and reported to us within 2 working days, with photos. Otherwise the goods are deemed accepted without visible defects.
  • Ownership of the goods passes to the buyer upon full payment of the price.

7. Warranty and returns

Products carry a 24-month warranty from the invoice date, under the conditions on the Warranty page. Products without defects may be returned only with our consent, as set out in the Returns Policy.

8. The configurator and quotations to your customers

  • The configurator calculates systems based on the dimensions and options you enter. Check the measurements, suitability for the site and the drawing before ordering; MD Trade is not liable for measurement or data-entry errors.
  • Quotations generated with your company's details and logo are your company's quotations to its customer. You set the final price, terms and commercial warranty and you are responsible for the content of the quotation and for respecting your customers' rights, including, when selling to a consumer, the 2-year legal guarantee of conformity (Romanian GEO 140/2021, Directive (EU) 2019/771) and mandatory pre-contractual information. When selling to a consumer, you must also provide the harmonised notice on the legal guarantee of conformity (Regulation (EU) 2025/1960), mandatory from 27 September 2026.
  • Processing of your customers' data. For the customer data you enter in the configurator, your company is the controller and MD Trade is the processor (Art. 28 GDPR). MD Trade: processes these data only to generate, keep and display quotations, on your instructions given by using the portal; ensures confidentiality and appropriate security measures; uses the hosting provider (Odoo S.A.) as sub-processor, bound by the same obligations; assists you in responding to data subjects' requests; notifies you without undue delay of any personal data breach; deletes the data on request or when the account is closed, except where the law requires us to keep them; and makes available the information needed to demonstrate compliance with these obligations.

9. Liability

To the extent permitted by law, MD Trade's liability under a contract is limited to the value of the products concerned and does not cover loss of profit or other indirect loss. This limitation does not apply to damage caused intentionally or by gross negligence, nor to personal injury. MD Trade is not liable for installation carried out by third parties.

10. Portal content

The texts, photos, drawings, 3D models and software in the portal belong to MD Trade or its partners. You may use them to present your quotations to your customers; any other copying or distribution requires our written consent.

11. Force majeure

Neither party is liable for non-performance caused by force majeure, under Article 1351 of the Romanian Civil Code, provided it notifies the other party within 5 days.

12. Governing law and disputes

Contracts are governed by Romanian law. Disputes shall be settled amicably, failing which by the competent courts for MD Trade's registered office. For customers from other countries Romanian law applies, excluding the UN Convention on Contracts for the International Sale of Goods (Vienna, 1980).

13. Personal data and changes

The processing of personal data is described in the Privacy Policy. We may change these terms; the new version applies to orders placed after its publication. In case of differences between the Romanian and English versions, the Romanian version prevails.
